1.3 Confidentiality. In order to enable consultants to provide consulting services, it may be necessary for the company to provide the advisor with confidential information (as defined below) about the company`s business and products. The company will rely heavily on Consultant`s integrity and prudent judgment to use this information only in the best interests of the company. 1.5 External services. The advisor may not call on the services of another person, entity or organization in carrying out the councillor`s duties without the prior written consent of a company executive. If the company consents to the use of another person`s services, entity or organization by the consultant, no information about the services to be provided under this agreement may be disclosed to that person, entity or entity until that person, entity or organization has entered into an agreement to protect the confidentiality of the company`s confidential information (in accordance with Article 5) and the absolute and total ownership of the company of all rights, titles and interests of the work performed under this Agreement. 7.1 Conflicts of interest. Consultant undertakes and undertakes not to consult or offer services in any way or an ability to a direct competitor of the company for the duration of the agreement, unless the president of the company grants him express written permission. A direct competitor of the company within the meaning of this Agreement is defined as any physical, partnership, corporate and/or other entity that is specified in the business [business definition – essentially similar to what is indicated in Section 1.1] in the miles of [establishment, head office, etc.]. 3.2 Refund. The company undertakes to reimburse consultants for any truly reasonable and necessary expenses directly related to consulting services.

These expenses include, among other things, travel expenses (e.g. B the fare of the flight, the hotel, temporary accommodation, meals, car parks, taxis, mileage, etc.), phone calls and postal charges. The costs incurred by the advisor are reimbursed by the company within 15 days of the councillor`s written request. All services outside the scope of this agreement, requested by the customer and which the company is able to provide, are billed at a rate of [$200] per hour. The customer is informed and must authorize additional services in writing (e-mail is sufficient) before they are provided, although the company may not be able to inform the customer in advance of the total cost of these additional services. The customer will also have the option to purchase additional services at flat prices if the company deems it appropriate.
